BV Maths Terms and Conditions

1. DEFINITIONS

1.1 In these Terms and Conditions:

a) "Account" refers to the secure account created by You upon registration, where Your personal information is stored, and from which You can access the BV Maths Services via Your BV Maths Login.

b) "Clients" refers to parents, students, or educational institutions that engage BV Maths for Tutoring Services.

c) "Equipment" means the minimum hardware and connectivity requirements needed to deliver Tutoring Services via the Site, including a computer, recommended browser, webcam, broadband internet connection (with sufficient bandwidth), sound card, headset, and microphone.

d) "BV Maths/We/Us" refers to BV Maths, a company registered in England and Wales, with its registered office at 24 Vaudrey Drive, Hazel Grove, Stockport SK7 5PB.

e) "BV Maths Login" refers to Your unique username and password.

f) "BV Maths Services" refers to the provision of tutoring services via the Site.

g) "Site" refers to www.bvmaths.com and any associated websites or platforms operated by BV Maths.

h) "Student" refers to a student receiving tutoring services through BV Maths.

i) "Tutor Content" refers to any content uploaded, embedded, or displayed on the Site by a Tutor, including text, images, videos, and lesson plans.

j) "Tutoring Services" means the provision of online tutoring by You to Clients via the Site.

2. TERM

2.1 This Agreement applies from the date You accept the Agreement by clicking accept on the Site (the “Effective Date”) and shall continue unless and until terminated in accordance with clause 11 (Termination).

2.2 You are under no obligation to accept any tutoring work offered by BV Maths, but once You accept a session, You agree to comply with the obligations set out in this Agreement.

 

 

3. DUTIES

3.1 You shall provide the Tutoring Services from the Effective Date as agreed from time to time in writing. You are under no obligation to accept any work offered by BV Maths at any time, but where You do so You agree to comply with the obligations set out in this Agreement.

3.2 You acknowledge that the ultimate beneficiary of the Tutoring Services will be the Students of the Clients (parents/students who book tutoring through BV Maths). You agree to tailor Your tutoring to meet the individual requirements of the Clients and Students.

3.3 You shall use Your best endeavours to promote BV Maths' interests and provide the agreed Tutoring Services via the Site.

3.4 If You are unable to provide the Tutoring Services, You must notify BV Maths as soon as reasonably practicable by contacting benvince@bvmaths.com, so that BV Maths can arrange a replacement tutor. To comply with legal obligations around safeguarding, confidentiality, and data protection, You must not arrange for anyone else to provide the Tutoring Services on Your behalf unless agreed in advance by BV Maths.

3.5 You confirm that You are legally entitled to work in the UK and agree to notify BV Maths immediately if You cease to be so entitled.

3.6 You will not be paid for any period during which You do not provide Tutoring Services, including where You are unavailable due to illness or incapacity.

3.7 You shall:

  • Provide Your own Equipment required for the Tutoring Services (see Definitions);
  • Ensure that You are available on reasonable notice to provide assistance or information as BV Maths may require;
  • Have no authority to bind BV Maths unless specifically permitted in writing;
  • Comply with UK bribery laws, including the Bribery Act 2010 and the Criminal Finances Act 2017;
  • Not knowingly engage in cheating or plagiarism by a Student and must report any suspected cases to BV Maths immediately;
  • Assume full responsibility for Your role as Tutor, including lesson content and student interactions;
  • Obtain, use, and maintain in good working order Your Equipment, including a headset and microphone;
  • Report any safeguarding concerns immediately by following the BV Maths Safeguarding Procedures.

3.8 BV Maths authorises You to use its Site and Services to deliver the Tutoring Services, provided You comply fully with this Agreement.

3.9 You will keep Your BV Maths login details confidential and not reveal them to anyone. You are responsible for all activities carried out under Your username and password. If You suspect unauthorised use of Your Account, You must notify BV Maths immediately at support@bvmaths.com.

3.10 If this Agreement is terminated, BV Maths shall deactivate Your Account and access to the Site promptly.

 

 

4. ARRANGEMENTS FOR THE PROVISION OF TUTORING SERVICES

4.1 You will provide the Tutoring Services remotely, typically from Your home or another suitable location, ensuring compliance with the obligations under clause 3.

4.2 You confirm that You will provide the Tutoring Services in Your personal capacity and not via any third-party intermediary. You warrant that You are not registered for VAT and that no VAT is payable on Your tutoring fees unless specified otherwise.

4.3 This Agreement does not impose fixed working hours. Tutoring Services will be provided on an "as required" basis, depending on demand and Your availability.

4.4 You are entitled to a 20-minute rest break for every six hours worked. It is Your responsibility to ensure that You take this rest break.

4.5 You must inform BV Maths if Your total working hours (including other employment) exceed 48 hours per week, as per the Working Time Regulations 1998.

4.6 No Holiday Pay Entitlement
As a self-employed tutor under this Agreement, You acknowledge that You are not entitled to holiday pay or any additional payment to cover holiday entitlement.

  • Your fees for Tutoring Services will be paid as agreed in Clause 5, with no additional uplift for holiday pay.
  • You are responsible for managing Your own time off, and BV Maths does not compensate for any period You do not work, including for reasons of illness, personal leave, or holiday.
  • If You are unavailable for any scheduled sessions, You must notify Clients with reasonable notice as set out in Clause 3.4.

4.7 BV Maths may offer You training, but no specific training is guaranteed as part of this Agreement.

4.8 As BV Maths provides tutoring to minors and vulnerable individuals, You are required to pass a Disclosure and Barring Service (DBS) check before delivering Tutoring Services. If You pass your interview, you will be expected to apply and complete a basic DBS check. Your account will not be verified until this certificate is sent to benvince@bvmaths.com.

5. FEES AND EXPENSES

5.1 BV Maths will deduct 15% from your hourly rate that you stated in your dashboard. This is automatic and there are no actions needed from the tutor.

5.2 You shall bear all expenses incurred in the provision of the Tutoring Services, including but not limited to broadband costs, Equipment costs, and any other personal expenses.

5.3 BV Maths will make all necessary deductions from Your fees as required by law, including pension contributions if applicable. If BV Maths arranges for Your DBS check, the cost of this will be deducted from Your payments.

5.4 BV Maths reserves the right to withhold payment or deduct sums from Your fees if You fail to meet Your obligations under this Agreement, including missed lessons or failure to comply with safeguarding policies.

 

 

6. OTHER ACTIVITIES

6.1 You are free to engage in any other employment or business activities, provided that these do not create a conflict of interest with Your role as a Tutor with BV Maths.

6.2 You agree that You shall not offer or arrange private tutoring sessions with BV Maths Clients outside the Site, as this constitutes a breach of contract and may result in the termination of Your Account.

 

 

7. CONFIDENTIAL INFORMATION AND CLIENT PROPERTY

7.1 You shall not use or disclose any confidential information about BV Maths, its business, Clients, or Students either during or after Your engagement, except where required by law.

7.2 Confidential information includes but is not limited to:

  • Student and Client details;
  • Lesson content, session recordings, and feedback;
  • Internal policies and training materials;
  • Any other non-public information obtained in the course of providing Tutoring Services.

7.3 This clause does not apply to:

  • Information required by law or regulatory authorities;
  • Information that is already in the public domain (through no fault of Yours).

7.4 Upon termination of this Agreement, You must return or delete all BV Maths property, including any personal data related to Students and Clients.

 

 

8. DATA PROTECTION

8.1 BV Maths and You agree to comply with all applicable UK Data Protection Laws, including the General Data Protection Regulation (GDPR) and UK Data Protection Act 2018.

8.2 BV Maths acts as a data controller, while You act as a data processor when handling Student data. You must only process Student data in accordance with BV Maths' instructions and policies.

8.3 You must:

  • Store and process all personal data securely;
  • Not share Student data with third parties without BV Maths' written consent;
  • Immediately report any data breaches to BV Maths at benvince@bvmaths.com.

8.4 If You receive a Subject Access Request (SAR) from a Student or Client regarding their personal data, You must notify BV Maths immediately and not respond directly.

8.5 At the end of Your engagement with BV Maths, You must delete or return all Student and Client data in compliance with BV Maths' data retention policy.

 

 

9. INTELLECTUAL PROPERTY

9.1 Any content You create while delivering Tutoring Services, including lesson materials, explanations, and other educational resources, remains Your intellectual property.

9.2 However, by using the BV Maths platform, You grant BV Maths a non-exclusive, royalty-free, perpetual licence to use, store, and distribute Your lesson recordings and tutoring materials for:

  • Quality assurance and training;
  • Safeguarding and compliance;
  • Client access to lesson recordings.

9.3 You must not upload or use copyrighted material in Your tutoring sessions unless You have the legal right to do so.

9.4 BV Maths reserves the right to remove any content that breaches copyright laws or infringes third-party intellectual property rights.

 

 

10. LIABILITY

10.1 You shall be personally liable for and shall indemnify BV Maths against any claims, losses, or damages arising from:

  • Negligent or reckless actions during Tutoring Services;
  • Breach of this Agreement, including data protection and confidentiality obligations;
  • Any legal claims brought by Clients or third parties due to Your conduct as a Tutor.

10.2 BV Maths is not liable for any loss of income or indirect damages resulting from service downtime, technical failures, or unforeseen circumstances.

 

 

11. TERMINATION

11.1 Either party may terminate this Agreement by giving one week’s prior written notice to the other party.

11.2 BV Maths may terminate this Agreement immediately if:

  • You breach any of Your obligations under this Agreement;
  • You are found to have engaged in misconduct, including inappropriate behaviour towards Students or Clients;
  • You fail to comply with safeguarding policies;
  • You arrange private tutoring with BV Maths Clients outside of the Site.

11.3 Upon termination:

  • Your access to the BV Maths Site will be deactivated;
  • You must return or delete any Client/Student data as per the Data Protection clause;
  • You must not contact Clients or Students unless explicitly authorised by BV Maths.

 

 

12. STATUS

12.1 Self-Employed Status

  • This Agreement establishes You as an independent contractor engaged on a self-employed, freelance basis.
  • You are not an employee, worker, agent, or representative of BV Maths and must not hold Yourself out as such.
  • You do not have any employment rights with BV Maths, including but not limited to:
    • Paid leave (holiday, sick leave, maternity/paternity leave).
    • Pension contributions.
    • Redundancy rights.
    • Minimum wage guarantees.

12.2 Control and Independence

  • You have full autonomy over how You deliver the Tutoring Services, provided that You:
    • Comply with the terms of this Agreement.
    • Follow safeguarding guidelines and professional standards.
    • Meet agreed lesson times and commitments with Students and Clients.
  • BV Maths does not dictate:
    • Your working hours (You decide when You are available).
    • Your teaching methods (unless they breach guidelines or standards).
    • The specific content of Your tutoring (except where safeguarding policies apply).

12.3 Your Responsibilities as a Self-Employed Tutor
Since You are not an employee, You bear the following responsibilities:

a) Tax and National Insurance (NI) Contributions

  • You are responsible for registering as self-employed with HMRC (His Majesty’s Revenue and Customs) and handling Your own tax affairs.
  • You must:
    • Complete and submit a Self-Assessment Tax Return each year.
    • Pay Income Tax on Your earnings from BV Maths.
    • Make National Insurance contributions (Class 2 and/or Class 4 NI) if applicable.
    • Keep accurate records of Your income and expenses for tax reporting.
    • Register for VAT (Value Added Tax) if Your total earnings exceed the VAT threshold set by HMRC.
  • BV Maths will not deduct tax or National Insurance from Your payments. It is Your responsibility to ensure compliance with tax laws.

b) Business Expenses and Financial Responsibilities

  • You must cover all expenses related to delivering Tutoring Services, including but not limited to:
    • Equipment costs (computer, webcam, headset, microphone).
    • Internet/broadband costs to ensure a stable connection for lessons.
    • DBS (Disclosure and Barring Service) checks, where applicable.
    • Any professional development or training You undertake.
  • BV Maths will not reimburse You for any expenses incurred unless explicitly agreed in writing.

c) Insurance Coverage

  • You are encouraged to obtain Professional Indemnity Insurance and/or Public Liability Insurance to cover any claims related to Your tutoring activities.
  • BV Maths does not provide insurance for Tutors. Any liability arising from Your Tutoring Services is Your personal responsibility.

d) Work Permit and Right to Work in the UK

  • If You are not a UK citizen, You are responsible for ensuring You have the legal right to work in the UK.
  • You must provide proof of Your right to work status upon request.
  • If at any time You lose Your legal right to work in the UK, You must inform BV Maths immediately, and Your engagement may be terminated.

12.4 No Employment Benefits or Rights

  • Since You are not an employee, You are not entitled to:
    • Statutory Sick Pay (SSP).
    • Maternity/Paternity Pay.
    • Workplace pension contributions.
    • Redundancy pay.
    • Notice periods or employment protections under UK Employment Law.

12.5 No Authority to Bind BV Maths

  • As a self-employed Tutor, You have no authority to act on behalf of BV Maths, including:
    • Making statements, agreements, or representations on behalf of BV Maths.
    • Entering into contracts or agreements in BV Maths’ name.
    • Using BV Maths’ name or branding for personal business or unauthorised purposes.

12.6 Liability for Your Actions

  • Since You are an independent contractor, You are fully liable for any issues arising from:
    • Errors, negligence, or misconduct in Your Tutoring Services.
    • Breach of confidentiality or safeguarding procedures.
    • Any claims or legal action taken by Clients, Students, or third parties.
  • BV Maths accepts no responsibility for any liabilities or disputes resulting from Your actions.

12.7 Employment Status Disputes

  • If You attempt to claim employment rights (such as minimum wage, holiday pay, or redundancy pay), You agree to indemnify BV Maths against any legal claims, costs, or financial penalties that may arise.
  • BV Maths reserves the right to terminate this Agreement immediately if You claim employment status contrary to this Agreement.

12.8 Changes to Self-Employment Rules

  • If UK legislation changes, BV Maths may require You to provide additional proof of self-employment status (e.g., evidence of tax payments, business registration, etc.).
  • You agree to comply with any future legal requirements regarding self-employment and tax obligations.

 


13. CHANGES TO THESE TERMS

13.1 BV Maths may update these Terms and Conditions from time to time.

13.2 If significant changes are made, BV Maths will provide 30 days’ notice before the changes take effect.

13.3 If You do not agree to the revised Terms, You may terminate this Agreement before the changes take effect.

 

 

14. THIRD-PARTY RIGHTS

14.1 This Agreement does not grant any rights to third parties under the Contracts (Rights of Third Parties) Act 1999.

14.2 Any amendments or modifications to this Agreement require written consent from BV Maths.

 

 

15. GOVERNING LAW AND JURISDICTION

15.1 This Agreement and any disputes arising from it shall be governed by and construed in accordance with the laws of England and Wales.

15.2 The courts of England and Wales shall have exclusive jurisdiction over any legal proceedings related to this Agreement.
